Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the AI.Rating website (the "Service") operated by AI.Rating ("us", "we", or "our").

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Intellectual Property and Licensing

The information provided on the AI.Rating website, including but not limited to security identifiers, ratings data, and related descriptive information, is protected under copyright laws. Users acknowledge that the data and content available on the AI.Rating website are valuable intellectual property owned by or licensed to AI.Rating (a trade name for an individual entity). No proprietary rights are transferred to Users through access to these materials, and all rights not expressly granted herein are reserved by AI.Rating.

2. Information Accuracy and Updates

• Current Data: The ratings data on AI.Rating are accurate as of July 1, 2024. Information related to rated companies' financial status, legal changes, sector activities, identification numbers, or default status occurring after that date is not included.
• No Obligation for Updates: AI.Rating is under no obligation to update the ratings data. Updates will only occur if sufficient resources are available and if such updates are deemed commercially viable.
• Evergreen Disclaimer: Unlike information from established rating agencies, AI.Rating’s data should not be considered perpetually up-to-date ("evergreen"). Users are solely responsible for understanding that ratings data may not reflect real-time or ongoing company developments. AI.Rating does not have direct relationships with rated companies unless specifically noted.

3. Payment for Services

• Service Fees:
  • Ratings Access: AI.Rating charges a fee of 1 New Zealand Dollar (NZD) for access to the ratings of one company, except for companies whose ratings are freely accessible.
  • Custom Ratings: AI.Rating charges a fee for generating a custom rating based on data provided by the User.
  • Bulk Discounts:
    • 100 Ratings: 69 NZD
    • 1,000 Ratings: 499 NZD
    • 10,000 Ratings: 4,499 NZD
    • Total Price Cap: 9,999 NZD (maximum charge).
• Payment Terms:
  • One-Time Payment: Fees are non-recurring and are charged on a one-time basis. Users gain access to the purchased ratings immediately after payment is processed.
  • Payment Methods: Payments are securely processed through the Stripe payment system, which supports major credit cards. In some cases, bank transfers may be accepted for larger payments with prior agreement.
  • Non-Refundable: Payments are non-refundable. Since access to the information is granted upon payment, the service is considered delivered in full. AI.Rating does not guarantee continued access to purchased data beyond the time required for Users to download or save the information.
• Revenue and Compensation: AI.Rating does not receive compensation from rated companies and does not generate income from activities related to the companies being rated.

4. Important Notes on Custom Ratings

• Data Privacy: AI.Rating does not store or retain any financial data submitted by Users for generating custom ratings. User-provided data is used exclusively for generating the requested rating.
• Access Control: Custom ratings are only accessible to the User who submitted the data and completed the payment. They are not shared with other parties.
• Accuracy Disclaimer: AI.Rating does not verify the accuracy of data provided by Users for custom ratings. The accuracy of a custom rating depends entirely on the accuracy of the User’s data submission.

5. Disclaimer of Warranties and Limitation of Liability

• No Warranties: All materials and information on the AI.Rating website are provided "AS IS" without any express or implied warranties, including but not limited to the accuracy, completeness, or fitness for a particular purpose of the data. AI.Rating does not guarantee that the data is free from errors or omissions.
• Limitation of Liability: In no event shall AI.Rating, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the website, even if AI.Rating has been advised of the possibility of such damages.

6. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms will be subject to the exclusive jurisdiction of the courts of New Zealand.

7. Changes to Terms

AI.Rating reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If the changes are material, Users will be notified at least 30 days before the new terms take effect. A "material change" will be determined at AI.Rating’s sole discretion. By continuing to access or use the website after changes become effective, Users agree to be bound by the revised terms. If a User does not agree to the new terms, they must stop using the website immediately.
